About the Role

Ushur is seeking a Legal Counsel to support the commercial, procurement, and day-to-day legal needs of a growing enterprise AI company serving regulated industries.

Reporting directly to the Associate General Counsel, this role will work closely with stakeholders across Ushur's India office and global business teams, with a particular focus on commercial contracting, procurement, AI and technology agreements, data protection, information security, and practical legal support for the business.

This is a hands-on role for a lawyer with strong contracting fundamentals who is ready to take meaningful ownership. You will draft, review, and negotiate customer, vendor, partner, and procurement agreements; advise internal teams on commercial and legal risk; and help improve the templates, playbooks, and workflows that support Ushur's contracting process.

The role is well suited for a lawyer with 3 to 5 years of experience who wants to build broad in-house legal capabilities in an AI-first business. The right candidate will be comfortable working independently within clear escalation guidelines, collaborating directly with business teams, and developing practical judgment across the legal issues that arise in a regulated enterprise AI company.

Responsibilities

Commercial and technology contracting

  • Draft, review and negotiate a broad range of commercial and technology agreements, including:
    • SaaS and subscription agreements
    • Master Services Agreements (MSAs)
    • Statements of Work (SOWs)
    • Order Forms
    • Vendor and supplier agreements
    • Professional services and implementation agreements
    • Partner, reseller and referral agreements
    • NDAs, DPAs, and BAAs
  • Advise on key commercial provisions including limitations of liability, indemnification, IP, confidentiality, data protection, security, warranties, SLAs, termination and insurance.
  • Support customer and vendor contracting, and help business teams navigate contractual issues and negotiations.

Business partnering and procurement

  • Serve as a key legal point of contact for the India office, partnering closely with business stakeholders on day-to-day legal and commercial requests.
  • Own legal review within the India procurement contracting process, including reviewing vendor agreements, negotiating terms, identifying risks and helping stakeholders move requests through to execution.
  • Work with Finance, Procurement, HR, Information Security, Sales, Operations and other functions to identify and address legal and contractual issues.
  • Develop strong relationships with stakeholders and provide practical, business-oriented legal advice.

Legal operations and broader support

  • Maintain and improve contract templates, playbooks, standard positions and contracting workflows, and establish efficient processes for handling recurring requests.
  • Assist the Associate General Counsel with a range of corporate, employment, compliance, procurement and other legal matters.
  • Coordinate with external counsel on specialized matters where appropriate.
  • Assist with legal research, regulatory developments and internal legal initiatives.

Required Skills and Experience

  • Meaningful experience in SaaS, technology, software, IT services or technology-related commercial contracting.
  • Strong contract drafting and negotiation skills.
  • Demonstrated ability to review and negotiate commercial agreements independently, including engaging directly with counterparties.
  • Ability to understand and assess commercial risk and provide practical, business-focused advice.
  • Strong written and verbal communication skills.
  • Ability to manage multiple stakeholders and competing priorities independently.
  • Willingness to work in a fast-paced, evolving business environment.

Preferred Skills and Experience

  • Experience working with US-based customers, vendors or business teams.
  • Experience in a US-headquartered SaaS or technology company.
  • Familiarity with US commercial contracting practices.
  • Experience supporting procurement and vendor contracting.
  • Exposure to privacy, data protection, information security or technology transactions.
  • Experience working directly with Sales, Procurement, Finance, HR or Information Security teams.
