This is an on-site and full-time position with flexibility to work from home. At Alloy, we have an ethos of “Mentorship-By-Apprenticeship” in all of our positions. The Team
Alloy’s Legal team provides legal support across Alloy’s various business units, including our in-house venture studio, 82VS, and its related entities. Alloy’s legal work is predominantly handled internally, with assistance from outside counsel as needed from time-to-time. The team interfaces daily with every business level of Alloy, from entry level bench scientist to the executive suite.

The Role
Our Alloy Legal team is looking for an organized, self-starting, and motivated individual to join the team at our offices in Waltham, Massachusetts. The position will report directly to the Head of Legal, based in Waltham, MA, and will require the individual to have strong interpersonal skills and the ability to interact comfortably with all levels of Alloy and external parties. The core duties and responsibilities of this role will involve reviewing, drafting, and negotiating a variety of commercial contracts, including but not limited to license agreements, services agreements, and research agreements with short turnaround times and deadlines, with an acute eye for detail. This position will primarily support the business and corporate development teams, while also supporting 82VS projects.

Principal Responsibilities
  • Reviewing, drafting, and counseling stakeholders on their negotiations of, CDAs, license agreements, service agreements, and materials transfer agreements between Alloy and pharmaceutical companies, biotechnology companies, and/or research institutions
  • Reviewing, drafting, and counseling stakeholders on their negotiations of, various vendor agreements
  • Participating in external business and corporate development discussions, as required
  • Filing and managing company records; maintaining the document management repository
  • Monitoring and ensuring contract compliance with customers and vendors
  • Providing counsel to various Alloy business units (operations, HR, finance, R&D, etc.) as legal matters arise to ensure compliance with applicable laws and regulations and company policies and procedures
Required Qualifications & Skills
  • Juris Doctor (JD) from an ABA-accredited law school
  • 3-5 years of relevant experience in a law firm setting or equivalent in-house experience at a pharmaceutical or biotech company
  • Experience with various commercial contracts applicable to the biotech industry
  • Demonstrated ability to prioritize and manage multiple tasks simultaneously and follow through on projects to completion
  • Exceptional interpersonal, written, and oral communication skills, including the ability to communicate complex legal issues to non-attorneys
  • Strong problem solving and decision-making skills while balancing the risk profile of the company
  • Agility in a fast-paced start up environment
  • Active law license in at least one jurisdiction in the United States
